Please read the following terms and conditions of use (“Terms”) carefully before using the Platform or Services as described below.

BY USING THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS AND OUR PRIVACY POLICY, FOUND [HERE] AND INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE PLATFORM (AS SUCH TERM IS DEFINED BELOW).

Acceptance of the Terms

These Terms for our web page located at:  www.oacts.ca  and including all sub-domains, linked pages, websites and applications hosted on or connected with it, such as any software published by us and hosted on any server, browser, computer, tablet or mobile device (the “Platform”) constitute a legal agreement and are entered into by and between you and Ontario Association of Craniofacial Trauma Surgeons (“OACTS”, “we”, or “us”). The following Terms govern your access to and use of the Platform, including any content, functionality and services offered on or through the Platform (the “Services”). By using or accessing the Platform and/or Services, by any means, you agree to be bound at all times by these Terms, which, together with our Privacy Policy, located [here], govern the relationship between you and OACTS in relation to the Platform and the Services. These Terms affect your legal rights and obligations. If you do not agree to the Terms, please do not use the Platform or the Services.

Our Mission

OACTS is a professional association for medical practitioners in the field of craniomaxillofacial trauma treatment in the Province of Ontario.  It was established to improve and optimize regional access to the necessary expertise for the care of patients with craniomaxillofacial injuries and provide web-based and other educational material on craniomaxillofacial injuries to practitioners and trainees.

 

License to Use

Subject to compliance with these Terms, OACTS grants you a revocable, non-exclusive, non-transferable, limited right to access and use the Platform and/or Services on any device, including the right to install and use software that may be made available by or through OACTS to enable you to access and use the Platform and/or Services on or from any device for which such use is permitted by OACTS.

Changes to this Agreement

OACTS is constantly improving the Platform and the Services. We reserve the right to alter or withdraw the Services at any time without notice, including in order to make enhancements, comply with applicable law, or prevent illegal activity on the Platform and/or Services. We may revise these Terms from time to time and the most current version will always be posted on our website:  www.oacts.ca.  You understand and agree that we will not notify you of revisions to these Terms and we will assume no liability or responsibility to you for our failure or inability to do so for any reason. By continuing to access or use the Platform and/or Services, you agree to be bound by the revised Terms. If you do not understand or agree to the revised Terms, please stop using the Platform and the Services.

General Use and Services License

The Services are intended for use only by individuals who are at least eighteen (18) years of age. If you are not at least eighteen (18) years of age or are not the age of majority in your jurisdiction, you are not authorized to use the Platform and/or Services without the permission and supervision of your parent or legal guardian. If you are under the age of majority, you represent and warrant that you have the express permission of your parent or legal guardian to use the Platform and/or Services. If you are a parent or legal guardian and have authorized a minor to use the Platform and/or Services, you agree that you are responsible for the online conduct of the minor, and for the consequences of any misuse of the Platform and/or Services by the minor.

OACTS provides a service through its Platform and Services which, amongst other things, allows (i) medical practitioners (each a “Practitioner User” or “you”, as applicable) to access emergent care for facial trauma patients with emergent injuries by providing telephone referral information of Members (as defined herein) through CritiCall Ontario (each an “Emergent Referral”); (ii) Practitioner Users to locate the nearest Member and access and download such Member’s referral form for facial trauma patients with no emergent associated injuries (each a “Non-Emergent Referral”, and together with Emergent Referrals, “Referrals”); (iii) Practitioner Users to obtain information about how to join OACTS and to apply for membership (each an “Application”); (iv) craniomaxillofacial surgeons practicing in the Province of Ontario and who have been approved for membership in OACTS (each a “Member” or “you”, as applicable) to have their coordinates and professional credentials listed and accessible to Practitioner Users and Non-Practitioner Users (as defined herein) and to receive Referrals; (v) Members to access educational resources, including videos and technical guides on surgical procedures; and (vi) patients and members of the public (each a “Non-Practitioner User” or “you”, as applicable) to view the (a) coordinates, professional credentials and referral forms of Members, (b) membership application, (c) educational resources provided to Members and (d) OACTS goals and executive members. OACTS provides the Platform and Services, amongst other things, as a means of connecting Practitioner Users and Non-Practitioner Users, as applicable, with Members and certain affiliates as detailed below (collectively, the “Users”). You agree that by using the Platform and/or Services to connect with a User, you are solely responsible for that relationship and any activities which may be conducted in relation to such relationship. You expressly agree and understand that OACTS shall have no (i) responsibility to manage the relationship between Users; (ii) responsibility to provide dispute resolution services of any kind; or (iii) liability to any User to any dispute, breach, claim, contract, or other liability arising from a relationship between Users. You are solely responsible for your interactions with other Users of the Platform and/or Services. We reserve the right, but are under no obligation, to monitor disputes between you and other Users.

You agree that you are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the Platform and/or Services and all charges related thereto. We shall not be liable for any damages to your or any User’s equipment, or for any data charges resulting from the use of the Platform and/or Services.

Advertisement

The Platform and/or Services may display advertisements for the purposes of generating revenue for OACTS.

Referrals and Applications

The Referrals are designed to streamline and expedite care for facial trauma patients in the Province of Ontario. Practitioner Users and Members are responsible for all Referrals and related content accessed through the Platform and/or Services, including but not limited to each Member’s referral form made available through the Platform and/or Services and the requested patient information that comprises the Referrals that is completed by Practitioner Users and sent directly to Members, it being understood that no such patient information is submitted to OACTS and/or through the Platform and/or Services.

The Applications are made available through the Platform and/or Services to streamline and expedite the OACTS application process which, in turn, provides greater regional access to the necessary expertise for the care of facial trauma patients in the Province of Ontario by increasing the number of Members. Practitioner Users who submit Applications are responsible for all information provided in such Applications accessed through the Platform and/or Services, including but not limited to personal information and professional credentials.

You agree that you will not, and will not enable or authorize any third party, by virtue of the Referrals or Applications, to:

  • submit a Referral to a Member without a reasonable and legitimate intent to refer a facial trauma patient to a Member;
  • submit an Application to OACTS without a reasonable and legitimate intent to become a Member;
  • submit a Referral to a Member that intentionally misrepresents a facial trauma patient or Practitioner User;
  • submit an Application to OACTS that intentionally misrepresents a Practitioner User;
  • provide identifiable facial trauma patient data to OACTS or any other parties, other than to a Member through a Referral;
  • “spam” or otherwise contact Users for purposes other than related to Referrals;
  • harass, stalk or contact any User after they have asked not to be contacted;
  • solicit Users by intentional misrepresentation;
  • engage in solicitations, communications or transactions that violate any applicable laws or regulations;
  • engage in illegal or fraudulent conduct;
  • except as expressly authorized by OACTS in writing, use any automated means or form of scraping or data extraction to access, modify, download, query or otherwise collect information from OACTS’s Platform and/or Services;
  • except as expressly authorized by OACTS in writing, copy, modify or create derivative works of the Platform and/or Services or any related technology; or
  • submit a Referral to a Member or an Application to OACTS, as applicable, that contains malware, spyware or any other malicious code or otherwise interferes with the operation of the Platform and/or Services or any device or system or breach or circumvent any security measures of OACTS or a third party.

Changes to Pricing Policy; Services.

The Platform and Services are currently provided by OACTS free of charge. OACTS reserves the right to change its pricing policy and structures at any time and from time to time; such changes are effective when OACTS posts the same to the Platform and/or Services. OACTS may, in its sole discretion, change some or all of Platform and/or Services at any time. In the event OACTS introduces a new product or service, the pricing for that product or service, if any, is effective at the launch of the product or service.

Accurate Information

In consideration of your use of the Platform and/or Services, you agree to: (a) provide accurate information as prompted through the Platform and/or Services; and (b) advise OACTS of any updates to such information to keep it accurate, as applicable. If you provide any information that is inaccurate, or OACTS has reasonable grounds to suspect that such information is inaccurate, OACTS may suspend or terminate membership and/or remove your User Content (as defined below) from the Platform and/or Services.

Your provision of registration information and any submissions you make to the Platform through any functionality such as submission of an Application and other such functions that may be available from time to time (collectively, “Interactive Functions”) constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy, found [here].

Conditions of Use and Platform Content Standards

As a condition of your access and use, you agree that you may use the Platform and/or Services only for lawful purposes and in accordance with these Terms.

The following content standards apply to any and all content, material, and information a User submits, posts, publishes, displays, or transmits (collectively, “submit”) to the Platform, to other Users or other persons (collectively, “User Content”) and any and all Interactive Functions. Any and all User Content must comply with all applicable federal, provincial, local, and international laws, regulations, and terms of service.

Without limiting the foregoing, you warrant and agree that your use of the Platform and/or Services and any User Content submitted by you shall not:

  • in any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy found [here];
  • in any manner violate the terms of use of any third-party website that is linked to the Platform;
  • in the case of User Content that is submit directly to OACTS, include or contain any facial trauma patient information of any kind;
  • include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in OACTS’s sole discretion;
  • involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or ask for personal information as prohibited under applicable laws, regulations, or code;
  • involve, provide, or contribute any false, inaccurate, or misleading information;
  • include sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with these Terms or our Privacy Policy;
  • impersonate or attempt to impersonate OACTS, an OACTS employee, another User, or any other person or entity (including, without limitation, by using email addresses, or screen names associated with any of the foregoing);
  • transmit, or procure the sending of, any advertisements or promotions without our prior written consent, sales, or encourage any other commercial activities, including, without limitation, any “spam”, “junk mail”, “chain letter”, contests, sweepstakes and other sales promotions, barter, or advertising or any other similar solicitation;
  • encourage any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm OACTS or Users of the Platform and/or Services or expose them to liability;
  • cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, or alarm any other person;
  • promote any illegal activity, or advocate, promote, or assist any unlawful act; or
  • give the impression that they originate from or are endorsed by us or any other person or entity, if this is not the case.

Monitoring and Enforcement, Suspension, and Termination

OACTS shall have the right, but no obligation, to monitor your activities on the Platform and/or Services to determine, in OACTS’s sole discretion, compliance with these Terms and any other operating rules we establish.

We reserve the right at all times to disclose any information we believe necessary to satisfy any law, regulation or governmental request, or to refuse to post or to remove any information or materials in whole or in part that in OACTS’s sole discretion is inappropriate, objectionable or in violation of these Terms.

OACTS neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement on the Platform and/or Services, whether it is provided by OACTS, our employees, or a third party. Under no circumstances will OACTS be liable for any loss or damage of any kind caused by reliance on information obtained through the Platform and/or Services. Neither OACTS nor any third-party content provider shall assume or have any liability for any action or inaction by OACTS or any third-party content provider with respect to any conduct, communication or posting on the Platform and/or Services.

OACTS may terminate or suspend any and all Services immediately, without prior notice or liability, including without limitation for any reason whatsoever in its sole discretion, including if required by law. OACTS may also terminate any portion of the Services if, in OACTS’s sole discretion, OACTS believes that portion of the Services is no longer commercially sustainable.

OACTS may terminate or suspend your membership and/or remove your User Content immediately, without prior notice or liability in its sole discretion if you breach the Terms, your medical license is revoked and/or we believe you have participated in conduct that compromises your medical license, the reputation of OACTS and/or has or could create liability or harm to another User, third party or OACTS.

If you wish to terminate your OACTS membership and remove your User Content and/or any events have occurred that would reasonably result in OACTS terminating or suspending your membership, you must notify OACTS forthwith. All provisions of these Terms which by their nature should survive termination or suspension shall survive termination or suspension, as applicable, including, without limitation, intellectual property ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Third Party Service

Your use of any third-party service provider in connection with the Platform and/or Services is governed by such third-party service provider’s then applicable terms and conditions and, to the extent that you make use of a third-party provider in connection with the Platform and/or Services, you hereby agree to abide by such terms.

 

Links

The Platform and/or Services may provide, or third parties may provide, links to other websites or resources. Because OACTS has no control over such sites and resources, you acknowledge and agree that OACTS is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that OACTS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content or goods or services available on or through any such site or resource.

Privacy Policy

Registration data and all other information we collect from you are subject to our Privacy Policy. You understand that through your use of the Platform and/or Services you consent to the collection, use and disclosure of this information, only as permitted by the Privacy Policy and in order to provide the Platform and/or Services to you.

Intellectual Property Rights

By submitting any User Content or feedback to the Platform and/or Services, you are granting OACTS an irrevocable, perpetual, royalty-free license to use the feedback for its own promotional purposes anywhere in the world.

Unless you are advised otherwise, everything you see or read on the Platform and/or Services is subject to copyright, trademark or other forms of legal protection owned by or licensed by third parties to OACTS and may not be used except as provided in these Terms or in the text of the Services without the written permission of OACTS.

Images displayed on the Platform and/or Services are either the property of, or used with permission by, OACTS. Use of these images by you, or anyone authorized by you, is prohibited unless specifically permitted by these Terms or specific permission provided elsewhere on the Platform and/or Services. Any unauthorized use of such images or other content may violate the law.

The trade-marks and logos (collectively the “Trademarks”) displayed on the Platform and/or Services are registered and unregistered Trademarks. Nothing contained in the Platform and/or Services gives you permission to use these Trademarks, and your use of the Trademarks is strictly prohibited. OACTS reserves the right to enforce its intellectual property rights where applicable.

Release and Indemnity

You specifically acknowledge that the Platform and Services are provided for information only and do not constitute any representation or warranty by us as to the quality, reliability, accuracy or any other aspect of any products or services that may be obtained by you through your use of the Platform and Services.  We assume no liability or responsibility for any relationship, agreement or arrangement with any party you may engage with through this Site and your use of the Site for such purpose constitutes your acknowledgement of same and your explicit agreement with us that no liability arises and no claim may be made against us in connection with, arising from or resulting from any relationship, agreement, arrangement or transaction entered into between you and any party identified by or through this Site or the Platform and Services. You will indemnify, defend, and hold harmless OACTS, its agents, shareholders, officers, directors, and affiliated entities (the “OACTS Releasees”) against any actual or threatened third party actions, suits, proceedings, debts, accounts, bonds, covenants, contracts, claims, liabilities, damages, grievances, executions, judgments and demands of any kind whatever (“Claims”) arising out of or based upon your use of or access to the Services, including any matter referred to above, together with any breach of these Terms, or from any representation or warranty contained herein and made by you which was or is at any time false, or for your violation of any third party right, including, but not limited to, any copyright, property, or privacy right, or in respect of any claim that your User Content caused damage to a third party.  You agree that you will indemnify the OACTS Releasees from all damages, costs, and attorneys’ fees finally awarded in any such Claim.

You hereby expressly and irrevocably release and forever discharge OACTS, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns of and from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims and demands whatsoever in law or equity which you ever had, now have, or hereafter can, shall or may have, for or by reason of, or arising directly or indirectly out of your use of the Platform and/or Services.

In no event shall OACTS be liable under contract, tort, strict liability, negligence or other legal theory with respect to the Platform and/or Services (i) for any lost profits or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever, or (ii) to provide substitute goods or services (however arising).

Disclaimer of Warranties

THE PLATFORM, SERVICES AND ANY ASSOCIATED SERVICES OR PRODUCTS ARE PROVIDED BY OACTS ON AN “AS IS” AND “AS AVAILABLE” BASIS. OACTS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, TO THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED IN THE SERVICES, OR TO THE FUNCTIONALITY OF ANY SERVICES OR PRODUCTS ASSOCIATED THEREWITH. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, OACTS DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OF WORKMANLIKE EFFORT, OF SUITABILITY, AVAILABILITY, ACCURACY, RELIABILITY, COMPLETENESS OR TIMELINESS OF CONTENT, OR OF NON-INFRINGEMENT, AS WELL AS WARRANTIES ARISING THROUGH COURSE OF DEALING OR USAGE OR TRADE. FURTHER, OACTS MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. OACTS IS NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO PRICING, TEXT, PHOTOGRAPHY OR ANY OTHER CONTENTS IN THE SERVICES. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES AND PRODUCTS AND SERVICES ASSOCITAED THEREWITH, INCLUDING YOUR USE OF ANY AND ALL ASSOCIATED CONTENT, DATA OR SOFTWARE DISTRIBUTED BY, DOWNLOADED OR ACCESSED FROM OR THROUGH THE SERVICES AND ANY ASSOCIATED SERVICES IS SOLELY AT YOUR OWN RISK. OACTS DOES NOT WARRANT OR GUARANTEE THAT ITS SERVICES OR SERVERS OR E-MAILS SENT BY OR ON BEHALF OF OACTS ARE FREE OF VIRUSES, WORMS OR OTHER HARMFUL COMPONENTS. FURTHER, OACTS DOES NOT GUARANTEE THE CONTINUOUS, UNINTERRUPTED AND ERROR-FREE OPERATION OF ITS SERVICES, NOR THAT ALL COMMUNICATIONS BETWEEN YOU AND OACTS, OR BETWEEN YOU AND ANY OTHER USER OF THE SERVICES, WILL BE SECURE FROM ACCESS OR INTERFERENCE BY THIRD PARTIES.

 

The Security of the Services

OACTS maintains reasonable safeguards and personnel policies that are designed to guard the Services, our systems and our Users’, business partners’ and others’ information. For example, for the security of your online visit to the Services, OACTS may make use of firewall barriers, encryption techniques and/or authentication procedures.

Unfortunately, no data transmission over the Internet can be guaranteed to be absolutely secure. As a result, while OACTS strives to protect your information, it cannot ensure or warrant the security of any content you transmit to us, and you do so at your own risk. In the event of a breach of the confidentiality or security of your personal information, OACTS will notify you as necessary so you can take appropriate protective steps.

Electronic Communications

When you use the Platform and/or Services or send emails to OACTS, you are communicating with us electronically. You acknowledge and agree (i) not to provide any Emergent Referral, Non-Emergent Referral or other patient data to OACTS through your use of the Platform and/or Services or emails to OACTS, and (ii) that OACTS does not collect or retain any such information. You consent to receive communications from OACTS electronically. OACTS may communicate with you by email or by posting notices on the Platform and/or Services. You agree that all agreements, notices, disclosures and other communications that OACTS provides to you electronically satisfy any legal requirement that such communications be in writing. 

Services is for Use in Canada

These Terms of use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. By using the Platform and/or Services, you agree to comply with all federal and provincial laws governing the Platform and Services and online conduct and acceptable social media content. You further agree to comply with all applicable laws regarding the transmission of data exported from Canada or the country in which you reside.

Conflict with Other Agreements

These Terms are in addition to, and do not nullify, any other agreement between you and OACTS or any other applicable terms and conditions found on the Platform and/or Services. In the case of any direct conflict between these Terms and any other agreement between you and OACTS, the provisions of such other agreement shall prevail but only to the extent applicable to the conflicting provisions. You agree to comply with all rules or restrictions that are posted on the Platform and/or Services.

Void where Prohibited by Law

OACTS administers and operates the Platform and Services from its location in Ontario, Canada. Although the Platform and Services are accessible worldwide, not all features, products or services discussed, referenced, provided or offered through the Platform and/or Services are available to all persons or in all geographic locations, or appropriate or available for use outside Canada. OACTS reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Platform and/or Services is void where prohibited. If you choose to access the Platform and/or Services from outside Canada, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Resolution of Disputes

If there is a dispute between Users of the Platform and/or Services, or between Users and any third party, you understand and agree that OACTS is under no obligation to become involved. In the event that you have a dispute with one or more other Users, you hereby release OACTS, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Platform and/or Services.

Miscellaneous

No agency, partnership, joint venture, or employment is created as a result of the Terms and you have no authority of any kind to bind OACTS in any respect whatsoever. The failure of any party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. OACTS shall not be liable for any failure to perform its obligations hereunder, where such failure results from any cause beyond OACTS’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). OACTS may transfer, assign or delegate the Terms and its rights and obligations without consent.

Survival

Any of these Terms which by its nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability, shall survive termination and continue in full force and effect except to the extent expressly set out in these Terms.

Severability

The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms and any such invalid or unenforceable term shall be deemed to be severable.

Governing Law and Language

These Terms are made under and governed by and are to be construed in accordance with the laws of Province of Ontario and the federal laws of Canada applicable therein. The parties hereto hereby irrevocably attorn to the jurisdiction of the courts of the Province of Ontario with respect to any disputes arising out of this Agreement. To the extent that applicable local law prevents certain disputes from being resolved in an Ontario court, then you can file those disputes in your local courts. Likewise, if applicable local law prevents your local court from applying Ontario law to resolve these disputes, then these disputes will be governed by the applicable local laws of your country, region or other place of residence.

User Data

Our Platform and/or Services will maintain certain data that you transfer to the Platform and/or Services for the purpose of the performance of the Services, as well as data relating to your use of the Platform and/or Services. Although we perform regular routine backups of data, you are primarily responsible for all data that you have transferred or that relates to any activity you have undertaken using the Platform and/or Services.  You agree that OACTS shall have no liability to you for any loss or corruption of any such data or User Content, and you hereby waive any right of action against OACTS arising from any such loss or corruption of such data or User Content.
